Constitution
ARTICLE I - NAME AND
PURPOSE
Section 1.
Name: The name of this organization shall be the Offutt Officers’
Spouses' Club, hereinafter referred to as the "OOSC".
Section 2.
Purpose: The purpose of the OOSC is to organize and sponsor
social activities as contemplated by Internal Revenue Code,
Section 501(c)(7). As such, it is operated exclusively for
pleasure, recreation and other non-profitable purposes. Within
these purposes is the goal of disseminating information of
interest to its members while fostering ideals of fellowship
consistent with those of the United States Armed Forces.
Section 3.
Operation: The OOSC will function within all applicable civil and
military laws and regulations. Roberts Rules of Order will serve
as a parliamentary guide for all matters not specified in this
Constitution, Bylaws, and Statement of Policies. This
organization will conduct itself in a manner that is free of
racial discrimination. The organization will provide equal
opportunity and treatment for all members and prospective members,
regardless of their race, color, religion, sex, handicap, age, or
national origin.
ARTICLE II - GENERAL
PROVISIONS
Section 1.
Private Organization:
The OOSC shall be established pursuant to Air Force Instruction
34-223.
Section 2.
Consent of the Installation Commander: The OOSC operates on Offutt
Air Force Base only with the consent of the Installation
Commander.
Section 3.
Liability of Members: In the event OOSC assets are insufficient to
discharge liabilities, the membership is liable for organizational
debts to the extent allowed under the laws of the state of
Nebraska. The OOSC is required to carry liability insurance
unless a waiver is
received from the Installation Commander. Members have been
advised that they are jointly and severally liable for the
obligations of OOSC.
Section 4.
Private Benefit: The OOSC shall not permit any part of its net
earnings to benefit any individual member or officer. If an
individual member obligates the OOSC, the obligation should be for
the sole use and benefit of the OOSC and have approval of the
Governing Board. If such benefit is solely for the use and
benefit of the individual member, the member will be held liable.
ARTICLE III - OFFICERS
AND GOVERNING BODY
Section 1.
Governing Body: The Board of Governors shall be the governing body
of the OOSC. The officers of the organization shall be honorary,
elected and appointed.
Section 2.
Honorary Officers and Advisors.
A.
The following spouses
shall be, with their consent, honorary officer/advisors to the
OOSC.

Spouse of the Commander,
US Strategic Command
b.
Spouse of the Vice
Commander, US Strategic Command

Spouse of the Vice
Commander, 55th Wing
B.
Should an honorary
president or advisor decline, the OOSC President has the authority
to fill the vacant position, with the consent of the other
honorary/advisor incumbents.
C.
The honorary president
and the advisors are non-voting members of the Executive Board and
Board of Governors.
Section 3.
Elected Positions - The following offices are elected positions of
the OOSC:

C.
Second Vice-President
D.
Recording Secretary
E.
Corresponding Secretary
F.
Operational Treasurer
G.
Charitable Treasurer
Section 4.
Appointed Officer: The President shall appoint a Parliamentarian.
The parliamentarian is a non-voting member of the Executive Board,
Board of Governors and any committees the parliamentarian is a
member of.
Section 5.
Executive Board: The honorary president, advisors, the elected
officers and the appointed officer shall constitute the Executive
Board.
Section 6.
Board of Governors: The Executive Board and chairpersons of all
standing committees shall be known as the Board of Governors.
Section 7.
The
OOSC Board of Governors shall also serve as the Board of Directors
of the OOSC Charitable Association, Inc., as provided in Article IV,
Section 7, of that organization's Articles of Incorporation.
ARTICLE IV - MEMBERSHIP
Section 1.
Voluntary: Membership in the OOSC is voluntary and shall include
active, associate, courtesy and honorary members. Members are
hereinafter referred to as the general membership.
Section 2.
Definitions, responsibilities, rights, and privileges of each
member are defined in the Bylaws.
ARTICLE V - METHOD OF
FINANCING
The activities of this
organization shall be financed by membership dues and user charges
from all active, associate and courtesy members.
ARTICLE VI - MEETINGS AND
QUORUMS
Section 1.
General Meetings: The General Membership of the OOSC shall meet
regularly at the time and place designated by the President.
Section 2.
Special Meetings: Special Meetings of the membership may be called
at any time by the President with the approval of the Executive
Board.
Section 3.
Board Meetings: The Board of Governors shall meet regularly at the
time and place designated by the President.
Section 4.
Executive Board Meetings: Convened at the discretion of the
President and with the Advisors’ consent.
Section 5.
Quorums
A.
A quorum shall consist of
a majority of those eligible voting members present at any scheduled
meeting.
B.
A quorum for Board of
Governors' meetings shall consist of a majority of the voting
members (22) of said Board.
ARTICLE VII -
ADOPTION AND AMENDMENTS
Section 1.
Adoption: The Constitution and Bylaws shall become effective upon
their adoption by a two-thirds vote of eligible voting members
present at any duly constituted general meeting of the OOSC, subject
to the approval of the Installation Commander.
Section 2.
Amendment: An amendment to this Constitution shall be proposed in
writing, and presented at a regular or special meeting of the Board
of Governors for their approval. With the written approval of the
Installation Commander, the proposed amendment shall be made
available for examination by the membership for a period of at least
30 days prior to voting. It shall be adopted by a two-thirds vote
of the active and associate members present and voting.
Section 3.
Administrative changes (ex: Air Force regulations) may be made as
necessary without amendments to the Constitution.
ARTICLE VIII -
FINAL DISPOSITION OF FUNDS
Upon dissolution of
the OOSC, the Board of Governors, subject to the approval of the
Installation Commander, shall distribute all funds and property,
real and personal, in excess of liabilities and after satisfaction
of any outstanding debts or obligations. Distribution will be done
through donations to base and local charities, and to other
organizations as deemed appropriate. As stated in Article II, no
individual member shall benefit from the disposal of funds or
property.
